Mutual Non-Disclosure Agreement

1. Purpose

This Mutual Non-Disclosure Agreement (“Agreement”) exists to protect both your company and Revya, Inc. as we explore a potential working relationship and analyze distributor deduction data.

2. What’s Covered

This agreement applies to all non-public, confidential, or proprietary information shared between you (the “Brand”) and Revya (the “Recipient”), including but not limited to:

• Uploaded deduction data (PDFs, CSVs, Excel, screenshots)
• Chargeback, promo, and GL codes
• Financial summaries or deduction reports
• Distributor names, deal terms, or revenue volumes
• Any insights derived from this data by Revya

3. Obligations

We agree to:

• Keep your data confidential and secure
• Only use your data to provide product analysis or services
• Not disclose your data to any third party without permission
• Promptly delete your data upon written request

You agree to:

• Not share confidential info about Revya’s systems, pricing, or automation processes with competitors
• Use insights provided for internal evaluation or pilot use only (unless otherwise agreed)

4. Exclusions

This agreement does not apply to information that:
• Is or becomes public through no fault of the recipient
• Was independently developed without access to confidential info
• Must be disclosed by law (with notice if permitted)

5. Duration

This Agreement remains in effect for 2 years from the date of disclosure of any confidential information.

6. No Formal Partnership

This mNDA does not constitute a commercial agreement. Either party may end the evaluation with no obligation.

7. Governing Law

This agreement is governed by the laws of the State of [Delaware], without regard to conflict of law principles.
